1Acceptance of These Terms

These Terms of Service (the “Terms”) apply to your use of www.optihole.com and to the services you buy from Optihole. Optihole (“Optihole”, “we”, “us”) is a digital marketing and SEO service brand operated by Ekram Hossen.

By using our website, requesting a proposal or ordering our services, you agree to these Terms. If you are accepting them for a company or organization, you confirm that you are authorized to do so.

Many projects also have a written proposal, statement of work or agreement (your “agreement”). If your agreement and these Terms conflict, your agreement takes priority for that project.

2Our Services

Optihole provides search engine optimization (SEO), answer engine optimization (AEO) and generative engine optimization (GEO) services for businesses worldwide. Depending on your project, this can include SEO audits, technical SEO, on-page and content work, local SEO, ecommerce SEO, link building, reporting, consulting and related digital marketing services.

The exact scope, deliverables and timelines for your project are set out in your agreement. Work that is not included there is outside the scope. If you ask for extra work, we will tell you how it affects the timeline and the fee before we start it.

We follow Google Search Essentials and its spam policies, and we do not use tactics that put your website at risk.

3Your Responsibilities

Good SEO depends on working together. To let us deliver the agreed services, you agree to:

• Give us timely access to the accounts and tools the project needs, such as your website or CMS, Google Search Console, Google Analytics, Google Business Profile or hosting. Access can be limited to the level the work requires.
• Provide accurate, complete and up-to-date information about your business, products, services and goals.
• Review and approve our recommendations, content and changes within a reasonable time.
• Make sure you own, or have permission to use, any content, images, trademarks and other materials you give us.
• Keep current backups of your website and data, and tell us about other people or agencies working on the same website.
• Make sure your products, services and claims comply with the laws and platform rules that apply to your business.

Delays in access, information or approvals can delay the work and its results. We are not responsible for problems caused by changes made by you or by third parties, or by recommendations that are not implemented.

4No Guaranteed Rankings or Results

We work hard to improve your visibility, but no agency can control how search engines or AI systems rank or show content. Google says this clearly in its own guidance:

“No one can guarantee a #1 ranking on Google.”

For that reason, we do not guarantee any specific ranking, traffic level, number of leads, sales or revenue. We also cannot guarantee that your brand or content will appear in AI-generated answers, such as Google’s AI features, ChatGPT, Perplexity or Gemini. Results depend on many factors outside our control, including algorithm updates, competition, your website’s history and how recommendations are implemented. Any forecasts or estimates we share are our best professional judgment, not promises.

5Payments and Billing

Fees, payment schedules, billing periods and accepted payment methods are set out in your proposal, agreement or invoice. Unless your agreement says otherwise:

• Payments are due by the date shown on the invoice.
• If a payment is overdue, we may pause work until it is received.
• You are responsible for any bank, transfer or currency fees charged by your payment provider, and for any taxes that apply to you.

Refunds, if any, are handled as set out in your agreement. Orders placed through a marketplace such as Fiverr or Upwork are paid and refunded under that marketplace’s own rules (see section 8).

6Intellectual Property and Deliverables

When you have paid in full for a deliverable, such as written content, reports or audits created specifically for you, you own it and may use it for your business.

We keep ownership of our own tools, templates, processes, know-how and any materials we created before or outside your project. Where these form part of a deliverable, you receive a non-exclusive right to use them as part of that deliverable.

Third-party materials, such as stock images, fonts, plugins or software, remain subject to their own licenses. We will only mention you as a client, or publish a case study about your project, with your permission.

7Confidentiality

We treat the non-public business information you share with us, such as account data, analytics, strategies and pricing, as confidential. We use it only to provide our services and share it only with people and tools that need it for your project.

This does not apply to information that is already public, that we receive lawfully from someone else, or that we must disclose by law. If you need a separate non-disclosure agreement, we are happy to sign one. How we handle personal data is explained in our Privacy Policy.

8Third-Party Platforms

Our work involves platforms and tools that we do not own or control, including Google, Bing and other search engines, AI search and answer engines, analytics tools and content management systems. These platforms can change their rules, features or algorithms at any time, and their own terms apply when you use them. We are not affiliated with or endorsed by them, and we are not responsible for their actions, outages or decisions.

If you order our services through a freelance marketplace such as Fiverr or Upwork, that marketplace’s terms of service apply to the order, including its rules on payments, cancellations, refunds and disputes. Where the marketplace’s terms conflict with these Terms, the marketplace’s terms take priority for that order.

9Limitation of Liability

To the maximum extent permitted by law:

• Our website and services are provided on an “as is” and “as available” basis, without warranties beyond those stated in your agreement.
• We are not liable for indirect, incidental or consequential losses, including lost profits, lost revenue, lost data, loss of rankings or traffic, or business interruption.
• Our total liability for any claim relating to our services is limited to the total fees you paid to Optihole for the affected services in the 3 months before the claim.

Nothing in these Terms limits liability that cannot be limited under the law that applies, such as liability for fraud.

10Termination

Either party may end ongoing services by giving 14 days’ written notice, unless your agreement sets a different notice period or minimum term. Either party may also end the services immediately if the other seriously breaches these Terms or the agreement and does not fix the breach within a reasonable time after being asked.

When services end, you pay for the work completed and any committed costs up to the end date. We will hand over completed deliverables that have been paid for, and you should remove or change any access you gave us.

11Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, the law or the platforms we work with. When we do, we will update the “Last updated” date at the top of this page. Changes do not affect work already agreed in a signed agreement unless both parties agree. By continuing to use our website or services after an update, you accept the new Terms.

12Governing Law

These Terms are governed by the laws of Bangladesh. If a dispute arises, both parties will first try to resolve it in good faith through negotiation for 30 days. If the dispute is not resolved within that time, the courts of Bangladesh will have jurisdiction.

If any part of these Terms is found unenforceable, the rest remains in effect.
